Terms of Service

These Terms of Service ("Terms") govern your access to and use of OEMup — the website at oemup.app, the web application at app.oemup.app, and the OEMup mobile application for Android and iOS (together, the "Service"). The Service is operated by Kira Intrilogy, a sole proprietorship based in Ahmedabad, Gujarat, India ("Kira Intrilogy", "we", "us", "our").

By creating an account, signing in, installing the mobile app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or firm, you confirm that you are authorised to bind it, and "you" includes that company. If you do not agree, do not use the Service.

1. Eligibility & Accounts

• You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
• Company workspace. The company or firm that registers with OEMup (the "Customer") owns its workspace. The Customer's administrators create, manage, suspend and remove user accounts for their staff ("Users"). A User may use the Service only as authorised by their Customer, and the Customer is responsible for the acts of its Users.
• Credentials. Keep your password confidential. You are responsible for all activity under your account and must tell us promptly at info@kiraintrilogy.com if you suspect unauthorised use.
• Accurate information. Registration details (company name, email, mobile number, GSTIN, PAN) must be accurate and kept up to date. New company registrations are reviewed before activation; we may decline or delay activation at our discretion.
• Deleting an account. You can ask us to delete your user account, or the Customer's entire workspace, at any time. See How to delete your OEMup account.

2. Subscription, Free Trial & Billing

• OEMup is provided on a subscription basis (monthly or annual), following a 14-day free trial.
• Subscription fees are billed in advance in Indian Rupees (INR) and include GST where applicable. Current prices are on the pricing page.
• Failure to pay may result in suspension of the workspace after 15 days' notice.
• Refunds and cancellation are governed by our Refund & Cancellation Policy.
• No in-app purchases. Subscriptions are purchased and managed through the web application only. The OEMup mobile app does not sell subscriptions, offer in-app purchases or process payments. It is provided at no additional charge to Users of a Customer with an active trial or subscription.

3. Mobile Application Licence

Subject to these Terms, Kira Intrilogy grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to download, install and use the OEMup mobile app on mobile devices that you own or control, solely to access your Customer's OEMup workspace for its internal business purposes.

You must not

• Copy, modify, adapt, translate, distribute, sell, rent, lease or lend the app, or make it available to anyone not authorised by your Customer;
• Reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code, encryption keys or underlying ideas of the app, except to the extent such restriction is prohibited by applicable law;
• Remove or alter any proprietary notices, or interfere with the app's security, encryption or licence controls;
• Use the app to build a competing product, or access the Service by automated means other than the interfaces we provide.

Updates and versions

We may release updates that add, change or remove functionality, and some updates may be required to keep using the app. We may stop supporting older versions of the app or older operating-system versions with reasonable notice inside the app or on the mobile app page.

Device permissions

The app asks for device permissions only for specific features — for example, location for GPS-verified client-visit check-in and check-out, and file access to attach documents or a profile photo that you choose. You may decline any permission; the related feature will simply not work. How this data is used is described in the Privacy Policy.

Networks and devices

You are responsible for the device, operating system and internet connection needed to use the app, and for any data charges from your network provider. We may refuse service to devices that have been rooted or jailbroken, or that run modified versions of the app.

App-store terms

If you download the app from Google Play or the Apple App Store, your use is also subject to that store's own terms. Sections 4 and 5 below contain additional terms required by those stores.

4. Additional Terms for the Apple App Store

The following applies when you use the OEMup app on an Apple device downloaded from the Apple App Store ("Apple" means Apple Inc. and its subsidiaries):

1. Acknowledgement. These Terms are concluded between you and Kira Intrilogy only, not Apple. Kira Intrilogy, not Apple, is solely responsible for the app and its content. Where these Terms are silent or less restrictive, Apple's Licensed Application End User License Agreement applies.
2. Scope of licence. The licence in section 3 is limited to a non-transferable licence to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
3. Maintenance and support. Kira Intrilogy is solely responsible for providing maintenance and support for the app. Apple has no obligation whatsoever to furnish any maintenance or support services.
4. Warranty. Kira Intrilogy is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are Kira Intrilogy's sole responsibility.
5. Product claims. Kira Intrilogy, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including (i) product liability claims; (ii) any claim that the app fails to conform to an applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
6. Intellectual property. If a third party claims that the app or your possession and use of it infringes that third party's intellectual property rights, Kira Intrilogy, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer contact. Questions, complaints or claims about the app should be directed to Kira Intrilogy, Ahmedabad, Gujarat, India — info@kiraintrilogy.com — or via the support page.
9. Third-party terms. You must comply with any applicable third-party terms when using the app, such as your wireless data service agreement.
10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. On your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

5. Additional Terms for Google Play

If you download the app from Google Play, your download and use are also subject to the Google Play Terms of Service. Google LLC is not a party to these Terms and has no responsibility for the app, its content, or for providing support. Any claim relating to the app should be directed to Kira Intrilogy using the contact details in section 17.

6. Acceptable Use

You may use the Service only for lawful business purposes. You must not:

• Resell, sublicense or share access to the Service with anyone outside your Customer's organisation;
• Upload malware, infringing content, or data that violates Indian law or the rights of others;
• Use the Service to process data for any illegal activity, or to issue tax documents that you know to be false;
• Probe, scan or test the vulnerability of the Service, or bypass any authentication or access control, without our written permission (report security issues to security@kiraintrilogy.com);
• Scrape, crawl or bulk-export data from the Service other than through the export tools and APIs we provide;
• Impersonate another person or company, or misrepresent your affiliation.

7. Your Data

• You own it. The Customer owns all business data entered into OEMup (customers, vendors, items, orders, invoices, production records, employee records and the like). We access it only to provide, secure, maintain and improve the Service, as described in the Privacy Policy.
• Your responsibilities. The Customer is responsible for having a lawful basis to enter personal data about its employees, customers and vendors into OEMup — including GPS check-in data for field staff who use the mobile app — and for informing those people as required by law. For such data, Kira Intrilogy acts on the Customer's instructions.
• Export. You can export your data at any time using the built-in export tools.
• Backups. We keep automated backups for disaster recovery. Backups are not a substitute for your own exports.

8. Third-Party Services & Government Portals

Parts of the Service rely on third parties — for example, the GST e-invoice (IRP) and e-way bill systems, payment gateways, email and SMS delivery, and cloud hosting. We do not control the availability or accuracy of government portals or third-party services, and delays or outages on their side are not a breach of these Terms. You remain responsible for the correctness of the data in your statutory filings and for reviewing documents before they are issued.

9. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated at least 24 hours in advance when possible, by email, in-app notice or on our website.

10. Intellectual Property

The Service — including the OEMup name and logo, the software, the mobile app, designs, documentation and all related intellectual property — is owned by Kira Intrilogy or its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be error-free or uninterrupted, or that calculations, reports or statutory documents generated by the Service are free of errors. OEMup is a software tool; it is not tax, legal or accounting advice, and you should verify statutory outputs with a qualified professional.

12. Limitation of Liability

To the maximum extent permitted by Indian law, Kira Intrilogy shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunity, arising out of or in connection with the Service. Our total aggregate liability for all claims in any 12-month period is limited to the subscription fees paid by the Customer to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold harmless Kira Intrilogy and its proprietor, staff and contractors from any claim, loss or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or the data you (or your Users) enter into or issue through the Service.

14. Termination

• The Customer may cancel its subscription at any time from account settings. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate access — including access from a specific device or app version — if these Terms are violated, if we detect a security risk, or if required by law. Where practical, we will give notice first.
• On termination, data retention and deletion follow the Privacy Policy. Uninstalling the mobile app does not by itself delete your account; use the account deletion page for that.
• Sections 7, 10 to 13 and 15 survive termination.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat. Before starting proceedings, both sides agree to try in good faith to resolve the dispute by writing to the contact below.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email, in-app notice or on this page at least 30 days before they take effect, unless a change is needed sooner for legal or security reasons. Continued use of the Service after the effective date means you accept the updated Terms.
